Legal & Regulatory

Institutional governance disclosures, European regulatory posture, and data protection policies for KaiFloor OÜ.

Regulatory Status & Domicile

KaiFloor OÜ is an Estonian-registered venture studio headquartered in Tallinn, Estonia. Fund I investment structures comply with applicable European Alternative Investment Fund Managers (AIFM) exemptions and Swiss collective investment schemes legislation.

Nothing on this website constitutes an offer to sell, or a solicitation of an offer to buy, any security or financial instrument. Any formal subscription or co-investment is conducted strictly through confidential Private Placement Memorandums (PPM) delivered to qualified institutional or accredited investors.

Conflicts of Interest & Studio–Fund Policy

KaiFloor operates both a venture studio and Fund I, which invests in ventures the studio itself builds and co-founds. This is a structural conflict of interest — the studio has an incentive to price its own equity favorably when the fund invests — and we manage it through the following policy rather than leaving it undisclosed.

  • Independent valuation: the studio's equity stake in any unit is valued by an independent third party before Fund I invests in that unit. The studio does not set its own price.
  • No fee capture: no Fund I capital is used to pay studio operating fees, salaries, or overhead. Studio operations are funded separately from GP commitment and management fees disclosed in the fund's offering memorandum.
  • LP disclosure: the full conflicts policy, including the valuation methodology and the studio's economics in each unit, is included in Fund I's confidential offering memorandum and is available to prospective LPs on request before any commitment.
  • Founder terms: equity terms offered to founders co-founding a unit (see Apply) are fixed in advance and are not altered by the fund's investment decision.

Venture Investment Risk Disclosure

Early-stage venture capital and deep-tech venture studio investments involve significant degrees of financial and operational risk:

  • Illiquidity: Venture studio equity and fund interests are illiquid with long-term realization horizons. There is no active secondary market.
  • Loss of Capital: Early-stage deep-tech companies carry high risk of total loss. Past performance or studio prototyping velocity is not an assurance of commercial returns.
  • Technological & Regulatory Risk: Portfolio companies operate in regulated European industries (healthcare, robotics, defence, finance) subject to legislative shifts, AI Act oversight, and technical hurdles.
  • Valuation Adjustments: Early-stage venture valuations are estimates and subject to market volatility.
